1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of Cuiver ("Cuiver", "we", "us", or the "Service"), including the website https://cuiver.app, related applications, and associated functionality made available to sports clubs and their authorised users.

By creating an account, accepting an invitation, or otherwise accessing or using Cuiver, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you use Cuiver on behalf of a sports club or other organisation, you represent that you have authority to bind that organisation to these Terms.

3. Scope and Related Documents

These Terms apply to your use of Cuiver as a contractual framework between you and Cuiver.

The following documents also apply and should be read together with these Terms:

  • Privacy Policy — how personal data is processed, including cookies and similar technologies.
  • Legal Notice — website and service provider information.

Where a sports club subscribes to Cuiver under a separate commercial agreement, order form, statement of work, or Data Processing Agreement, those documents may supplement or prevail over these Terms to the extent expressly agreed in writing.

In the event of conflict concerning a specific subscribed service, the applicable commercial agreement will prevail over these Terms.

4. Eligibility and Registration

You must be at least the minimum age required by applicable law to enter into a binding agreement, or use Cuiver only with appropriate parental or guardian authorisation where required.

To access certain functionality, you must register for an account or accept an invitation issued by an authorised club administrator.

You agree to provide accurate, complete, and up-to-date information during registration and to keep your account information current.

5. Accounts, Credentials and Roles

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, except where caused by Cuiver's breach of these Terms or applicable law.

You must notify Cuiver promptly if you suspect unauthorised access to your account.

Cuiver may offer role-based permissions for club administrators, coaches, staff, players, parents, guardians, and other users. Permissions determine what information you can access and what actions you can perform within a club.

You must not share credentials except as expressly permitted by your club's internal policies and applicable law. Clubs are responsible for assigning appropriate roles and permissions to their users.

6. Description of the Service

Cuiver provides cloud-based software designed to help sports clubs manage organisational and sporting activities, which may include:

  • Club, season, and team management.
  • Player, coach, and staff management.
  • Calendars, events, convocations, attendance, and availability.
  • Match management, statistics, reports, and communications.
  • Injury, recovery, and related information where enabled by the club.
  • Other functionality made available from time to time.

Cuiver may modify, update, add, or remove features as the Service evolves. We will use reasonable efforts to avoid materially reducing core functionality during an active paid subscription period, except where required for security, legal compliance, or operational reasons.

7. Acceptable Use

You must use Cuiver lawfully, responsibly, and only for legitimate sports-club management purposes.

You must not:

  • Use the Service for unlawful, fraudulent, or abusive purposes.
  • Attempt to gain unauthorised access to accounts, systems, or data.
  • Circumvent security, authentication, or access controls.
  • Introduce malware, malicious code, or harmful material.
  • Interfere with the operation, integrity, or availability of the Service.
  • Access information belonging to another club or user without authorisation.
  • Upload or share content that infringes third-party rights or applicable law.
  • Use automated means to access, scrape, or extract data from the Service without Cuiver's prior written consent.
  • Reverse engineer, decompile, or attempt to derive source code except where expressly permitted by law.

Cuiver may investigate suspected violations and take reasonable action, including restricting access or removing content, as described in these Terms.

8. User and Club Content

Certain functionality allows authorised users or sports clubs to upload, create, store, or otherwise provide content through the Service, including text, images, documents, sporting information, and other materials ("User Content").

You retain responsibility for User Content you or your club provide. You represent that you have the necessary rights, permissions, and legal basis to provide and use such content through Cuiver.

You grant Cuiver a limited licence to host, store, process, display, and transmit User Content solely as necessary to operate and provide the Service, comply with law, and enforce these Terms.

Cuiver may remove or restrict access to User Content where reasonably necessary to comply with law, respond to a valid legal request, protect users, or enforce these Terms.

9. Subscriptions, Fees and Payment

Access to some or all Cuiver functionality may require a paid subscription or other commercial arrangement with Cuiver or an authorised reseller.

Where fees apply:

  • Prices, billing cycles, and plan features will be presented at the time of purchase or in the applicable commercial agreement.
  • You authorise Cuiver or its payment provider to charge applicable fees using your selected payment method.
  • Fees are non-refundable except where required by applicable law or expressly stated otherwise.
  • Failure to pay applicable fees may result in suspension or termination of access.

Taxes, if applicable, are your responsibility unless stated otherwise at checkout or in the commercial agreement.

10. Intellectual Property

Except for User Content and third-party materials, Cuiver and its licensors own all rights, title, and interest in and to the Service, including software, design, branding, documentation, and related materials.

These Terms do not transfer ownership of Cuiver intellectual property to you. You receive only the limited right to access and use the Service in accordance with these Terms and any applicable commercial agreement.

You must not copy, modify, distribute, sell, lease, or create derivative works from the Service except as expressly permitted by law or in writing by Cuiver.

11. Data Protection

Personal data processed through Cuiver is handled in accordance with our Privacy Policy.

Where a sports club uses Cuiver to manage personal data relating to its members, players, staff, or other individuals, the club is generally responsible for determining the purposes and means of that processing. Cuiver may act as a data processor on behalf of the club, as described in the Privacy Policy and, where applicable, a Data Processing Agreement.

12. Club Administrator Responsibilities

If you are a club administrator or otherwise manage a club workspace on Cuiver, you are responsible for:

  • Ensuring that information entered into Cuiver is accurate and lawfully collected.
  • Obtaining appropriate permissions and authorisations from players, parents, guardians, staff, and other individuals.
  • Assigning appropriate roles and access permissions within the club.
  • Ensuring lawful use of health, injury, or recovery-related functionality where enabled.
  • Complying with applicable child-protection, employment, sporting, and data-protection requirements.
  • Responding to data-subject requests concerning information for which the club is controller, where applicable.

Cuiver provides software tools; it does not replace the club's own legal, medical, sporting, or organisational obligations.

13. Availability, Changes and Support

Cuiver will use reasonable efforts to maintain the availability and proper operation of the Service, but uninterrupted or error-free operation is not guaranteed.

The Service may be unavailable due to maintenance, updates, technical failures, security incidents, or circumstances outside Cuiver's reasonable control.

Cuiver may change the Service, including features, interfaces, and technical requirements, from time to time. Where practicable, we will provide reasonable notice of material changes affecting subscribed customers.

Support channels and service levels, if any, may be described in the applicable commercial agreement or on the website.

14. Suspension and Termination

You may stop using Cuiver at any time, subject to any active subscription or contractual commitment.

Cuiver may suspend or terminate access to the Service, in whole or in part, if:

  • You materially breach these Terms or applicable law.
  • Payment of applicable fees is overdue.
  • We reasonably believe suspension is necessary to protect the Service, users, or third parties.
  • We are required to do so by law or a valid legal request.

Where reasonably practicable, Cuiver will provide notice before suspension or termination, except where immediate action is required for security, legal, or abuse-related reasons.

Upon termination, your right to access the Service ends, subject to any data-retention or export rights provided by applicable law or commercial agreement.

15. Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

Cuiver does not provide medical, legal, financial, coaching, or other professional advice. Information, statistics, reports, notifications, and other outputs generated by the Service are informational tools only and should be reviewed by appropriate club personnel before being relied upon for important decisions.

Cuiver disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Cuiver shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, goodwill, data, or business opportunity.
  • Losses arising from User Content, club decisions, or third-party services.
  • Temporary unavailability or errors in the Service.

Cuiver's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of:

  • The amounts paid by you to Cuiver for the Service in the twelve (12) months preceding the event giving rise to the claim; or
  • One hundred euros (EUR 100), if no fees were paid during that period.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud or wilful misconduct.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cuiver, its affiliates, directors, officers, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service in breach of these Terms or applicable law.
  • User Content you or your club provide.
  • Your violation of third-party rights.
  • Disputes between you and your club or other users, except to the extent caused by Cuiver's breach of these Terms.

18. Changes to These Terms

Cuiver may update these Terms from time to time to reflect changes to the Service, business practices, or applicable law.

The current version will be published on the Cuiver website. Where required by law or where changes are material, we will provide additional notice or request acceptance before the updated Terms take effect.

Continued use of the Service after the effective date of updated Terms constitutes acceptance, except where applicable law requires explicit consent.

19. General Provisions

These Terms, together with the Privacy Policy, Legal Notice, and any applicable commercial agreement, constitute the entire agreement between you and Cuiver regarding the Service, unless otherwise agreed in writing.

If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.

You may not assign or transfer your rights or obligations under these Terms without Cuiver's prior written consent. Cuiver may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.

Applicable law, jurisdiction, and dispute resolution may also be addressed in the Legal Notice and mandatory consumer-protection rules.
